Abstract
The study was conducted to assess corporate governance practices of NIB in Ethiopia in light of NBE Directive No. SBB/71/2019, OECD, and BCBS principles. And also evaluate NIB corporate governance system and NIB performance. The study mainly focus on CG practice which incorporates components of board member issues (size, structure, qualification and responsibility), protection of stakeholder rights, disclosure and transparency, equity and treatment of shareholder right. An exploratory research method and mixed research approach were employed to achieve the objective of the study. The total population and target population were all management members working in NIB Head Office in Addis Ababa and Board members working in NIB Head Office in Addis Ababa. The relevant data were collected from the target population through questionnaire, interviews and related documents. From 20 distributed questionnaire 14 were completed and returned. As so collected data were analyzed using SPSS V-26 application in descriptive statistics (Percentage, Frequency, Mean and Standard deviation). Interview results obtained from purposely 2 chosen board and 2 top management members were made part of data and information used for analysis. Financial performance indicators include ROA, ROE, and NIM were derived from the financial statements of the bank to show the result of good corporate Goveranace. The finding of the study shows that NIB has some gaps in CG practice based on NBE Directive No. SBB/71/2019, OECD, and BCBS principles. such as, Female board member is only one;the transparency and disclosure principle should be respected. Based on the major findings, the study reached a certain conclusion and presented some possible recommendations to enhance CG principles & practices in NIB Bank S.C..
