This thesis seeks to analyze and evaluate the comprehensiveness and effectiveness of the existing Ethiopian laws and regulations governing bank mergers, with a particular focus on their capacity to address key legal challenges and ensure adequate regulatory oversight throughout the merger process. By examining current laws and regulatory provisions, this research identifies gaps, ambiguities, and potential shortcomings that may impede the successful implementation of mergers and limit the legal protections afforded to stakeholders. The study utilizes a doctrinal legal research methodology, supplemented by comparative analysis of international best practices in bank mergers, to provide insights and recommendations that aim to strengthen Ethiopia’s legal framework. Key areas of examination include the approval process, treatment of stakeholder interests, competition law considerations, and compliance with financial stability requirements. Furthermore, the thesis explores the implications of these laws on market dynamics and the banking sector's role in promoting economic development. The findings of this study underscore the importance of a comprehensive and coherent regulatory regime in addressing legal complexities associated with bank mergers while fostering confidence among stakeholders. It also aims to contribute to the ongoing development of Ethiopia’s legal infrastructure, promoting transparency, efficiency, and alignment with global standards. By addressing these core issues, the research aspires to serve as a valuable resource for policymakers, legal practitioners, and banking professionals engaged in the evolving landscape of financial regulation in Ethiopia.
